Terms and Conditions of Content Usage

1. Definitions

  • "Content" refers to all digital materials provided by Spacolour ltd, including but not limited to ebooks, articles, templates, graphics, and any other downloadable or accessible digital assets.

  • "Licensee" refers to the individual or entity purchasing or accessing the Content from Spacolour ltd.

  • "Licensor" refers to Spacolour ltd, the provider of the Content.

  • "Intellectual Property Rights" means all patents, rights to inventions, copyright and related rights, moral rights, trademarks, trade names, and domain names, rights in get-up, rights in goodwill or to sue for passing off, rights in designs, rights in computer software, database rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.   

2. Grant of License

  • Licensor grants Licensee a non-exclusive, non-transferable, and limited license to access and use the Content for personal or internal business purposes only.

  • This license explicitly prohibits any form of resale, redistribution, modification, or public display of the Content unless explicitly authorised in writing by the Licensor.

  • The content provided is provided as "read only" content.

3. Restrictions on Use

  • Licensee shall not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Content without the express written permission of Licensor.

  • Licensee shall not modify, alter, adapt, translate, reverse engineer, decompile, or disassemble the Content.

  • Licensee shall not distribute, share, or give away the Content, whether for free or for any form of compensation.

  • Licensee shall not upload the Content to any public or private sharing platforms or websites.

  • Licensee shall not claim ownership of the content or represent it as their own work.

  • Licensee shall not remove or alter any copyright notices or proprietary markings within the Content.

4. Intellectual Property Rights

  • All Intellectual Property Rights in and to the Content remain the sole and exclusive property of Licensor.

  • Licensee acknowledges that they acquire no ownership rights in the Content by virtue of this agreement.

  • All content is copyrighted by Spacolour ltd

5. Breach of Terms

  • Any breach of these terms and conditions shall result in the immediate termination of the License.

  • Licensor reserves the right to pursue legal action against Licensee for any infringement of its Intellectual Property Rights, including seeking injunctive relief, damages, and legal costs.

  • Under UK Law, The copyright, designs and patents act 1988, is the primary source of copyright law, and this will be used in any legal action taken.

6. Limitation of Liability

  • Licensor shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Content.   

  • Licensor's total liability to Licensee for any claim arising from these terms and conditions shall be limited to the purchase price paid by Licensee for the Content.

7. Governing Law and Jurisdiction

  • These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales.   

  • Any disputes arising from these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.   

  • Where the client is not based in the UK, international law will be taken into account, alongside the uk laws.

8. Entire Agreement

  • These terms and conditions constitute the entire agreement between Licensor and Licensee concerning the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.   

9. Amendments

  • Licensor reserves the right to amend these terms and conditions at any time. Any amendments shall be effective upon posting on Licensor's website or upon notification to Licensee.

10. Acknowledgement

  • By purchasing and/or downloading the content, the licensee agrees that they have read, understood and agree to these terms and conditions.
